Terms of Use

Welcome to Esby. These Terms of Use (“Terms”) govern your access to and use of esby.io, the Esby application, Esby’s relationship intelligence features, AI-assisted insights and recommendations, integrations, and any related products, tools, content, or services (collectively, the “Services”).

Esby is operated by Reladium LLC, doing business as Esby (“Esby,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Services.

By using Esby, you represent that you meet these requirements and that the information you provide to us is accurate and current.

2. Your Account

Some or all features of Esby require you to create an account.

You are responsible for:

• Providing accurate and complete account information
• Keeping your login credentials confidential
• Maintaining the security of your account
• Promptly notifying us at hello@esby.io if you believe your account has been accessed without authorization

You are responsible for activity that occurs through your account unless caused by our failure to maintain reasonable security measures.

We may suspend or terminate accounts that contain inaccurate information, violate these Terms, create security risks, or are used in a way that may harm Esby, other users, or third parties.

3. What Esby Does

Esby is a relationship intelligence platform designed to help you remember, understand, and maintain important professional relationships.

Depending on the features available to you, Esby may help you:

• Organize and understand information about people and relationships in your network
• Connect or import information from email, calendars, contact lists, files, meeting records, transcripts, or other authorized sources
• Recall previous conversations, commitments, interests, and relationship history
• Identify people who may be relevant to your current priorities
• Surface potential opportunities, introductions, reasons to reconnect, or suggested next steps
• Prepare for meetings or conversations
• Draft messages or other communications for your review
• Search or ask questions about information available within your account
• Personalize recommendations based on your preferences, behavior, feedback, and, where applicable, SHEER Personality information

Esby is designed to assist your judgment, not replace it.

Insights, recommendations, relationship interpretations, suggested connections, drafted communications, and other outputs may be incomplete, inaccurate, outdated, or inappropriate for a particular situation.

You are responsible for deciding whether and how to act on information provided by Esby.

4. AI-Assisted Features

Esby uses artificial intelligence and other automated systems to analyze information and provide insights, summaries, recommendations, drafts, and other assistance.

AI-generated output may occasionally be inaccurate, incomplete, misleading, or unhelpful. Esby may infer relationships, priorities, interests, opportunities, or other context incorrectly.

You should review important information before relying on it and independently verify information when appropriate.

Esby does not provide medical, mental health, legal, financial, employment, investment, or other regulated professional advice.

Do not use Esby or its outputs as the sole basis for high-impact decisions involving employment, credit, housing, insurance, healthcare, legal rights, or similar matters affecting another person.

5. Connected Accounts and Third-Party Data

Esby may allow you to connect third-party accounts or services or import information from sources you control or are authorized to access.

By connecting an account, authorizing an integration, uploading information, or importing data, you represent that you have the necessary rights and authority to allow Esby to access and process that information for purposes of providing the Services.

You are responsible for ensuring that your use of information about other people complies with applicable laws, contractual obligations, and the terms governing the services from which that information originates.

You may disconnect supported integrations according to the controls made available through Esby or the applicable third-party service.

The availability and functionality of integrations may change over time.

6. Information About People in Your Network

Esby is designed to help you understand and maintain relationships, which means your account may contain information about people who are not themselves Esby users.

You may only provide, import, connect, or use information that you are legally permitted to access and use.

You may not use Esby to:

• Secretly obtain information you are not authorized to access
• Harass, stalk, threaten, manipulate, exploit, discriminate against, or harm another person
• Create deceptive or misleading profiles about another person
• Make prohibited or unlawful decisions about another person
• Circumvent another person’s privacy choices
• Collect or process information in violation of applicable law

Esby may generate inferences or suggestions based on the information available to it. These should not be treated as verified facts about another person unless independently confirmed.

7. SHEER Personality Features

Esby may use information from SHEER Personality to personalize how Esby communicates with you, what it surfaces, and how it helps you navigate relationships.

SHEER information provides a starting point for personalization and relational insight. It does not determine how you or another person will behave, and Esby may continue adapting based on your preferences, feedback, behavior, and other information you provide.

SHEER-based insights are not psychological diagnoses, clinical evaluations, or guarantees about compatibility, behavior, communication, or relationship outcomes.

Your use of SHEER Personality outside of Esby may also be subject to separate SHEER Personality terms and policies.

8. Acceptable Use

You may use the Services only for lawful personal, professional, internal business, or authorized organizational purposes.

You may not:

• Impersonate another person or misrepresent your identity
• Access another person’s account without authorization
• Upload, import, or connect information you do not have the right to use
• Harass, threaten, stalk, exploit, discriminate against, or harm another person through the Services
• Submit unlawful, defamatory, abusive, hateful, obscene, or infringing content
• Attempt to access systems, accounts, data, or features you are not authorized to access
• Interfere with the operation, security, integrity, or availability of the Services
• Introduce malicious software, code, or other harmful material
• Use bots, scrapers, crawlers, data-mining tools, or unauthorized automated methods to access or extract information from the Services
• Reverse engineer, decompile, copy, recreate, or attempt to discover Esby’s underlying software, prompts, systems, methodologies, algorithms, or proprietary logic
• Use Esby, its outputs, proprietary features, or content to create, train, improve, benchmark, or support a competing product or service without our written permission
• Use the Services in violation of applicable law or these Terms

9. Your Content and Data

You retain ownership of information and content you provide to Esby.

This may include account information, uploaded or imported information, relationship notes, communications, prompts, feedback, and other content you provide or authorize Esby to access.

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, analyze, transmit, reproduce, and store that information as reasonably necessary to operate, secure, maintain, improve, and provide the Services, subject to our Privacy Policy.

We may use de-identified or aggregated information to understand usage patterns, improve Esby, evaluate features, conduct research, and develop future products or services, provided that such information does not reasonably identify you.

If you provide feedback, suggestions, ideas, or recommendations about Esby, you grant us the right to use that feedback without restriction or compensation to you.

Our collection, processing, retention, and handling of personal information are further described in our Privacy Policy.

10. Actions and Draft Communications

Esby may suggest actions or prepare draft communications based on information available within your account.

Unless a feature clearly states otherwise, drafts and recommendations are provided for your review and are not representations that an action has been taken.

You are responsible for reviewing communications, recipients, content, recommendations, and other actions before approving or sending them.

Where Esby offers functionality capable of taking actions on your behalf, additional permissions, confirmations, or terms may apply.

11. Beta and Early Access Features

Some Esby features may be offered as beta, preview, experimental, or early-access features.

These features may:

• Change significantly during development
• Be incomplete or contain errors
• Produce unexpected results
• Be added, modified, limited, or removed
• Experience interruptions or reduced availability

Your feedback may be used to improve Esby and develop future features.

We do not guarantee that any beta or early-access feature will become generally available or remain available in its current form.

12. Intellectual Property

The Services, including the Esby name, logo, software, interfaces, designs, text, graphics, relationship intelligence systems, AI workflows, methodologies, prompts, features, and other proprietary content, are owned by or licensed to Reladium LLC and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.

You may not copy, reproduce, publish, distribute, sell, license, modify, publicly display, create derivative works from, or commercially exploit Esby’s proprietary content or technology without our prior written permission.

13. Subscriptions, Payments, and Billing

Esby may offer free, trial, beta, subscription, or other paid access to the Services.

Prices, billing terms, subscription periods, and applicable payment requirements will be presented before you purchase.

By purchasing a subscription or other paid Service, you agree to:

• Provide accurate payment and billing information
• Pay applicable charges, taxes, and fees
• Authorize Esby and its payment processor to charge your selected payment method

If you purchase a recurring subscription, your subscription will automatically renew at the applicable subscription rate and billing frequency until you cancel it, unless otherwise disclosed at checkout or prohibited by applicable law.

You authorize us or our payment processor to charge your payment method for each renewal.

You may cancel your subscription using the cancellation method provided within your account or by contacting hello@esby.io.

Unless otherwise stated at checkout or required by applicable law, cancellation stops future renewals and does not provide a refund or prorated credit for the current billing period. You may continue to access paid Services through the end of the period you have already paid for, unless otherwise specified.

Promotional, founding-member, beta, or other special pricing may be subject to additional conditions disclosed when offered.

14. Refunds

Except where otherwise stated at checkout or required by applicable law, payments for Esby subscriptions and other digital Services are non-refundable once the applicable access period has begun.

If you believe you were charged incorrectly, contact hello@esby.io.

Nothing in these Terms limits any refund or cancellation rights you may have under applicable law.

15. Cancellation and Termination

You may stop using Esby at any time.

You may request deletion of your account by contacting hello@esby.io or by using account deletion functionality if available. Account deletion is subject to the retention practices described in our Privacy Policy and any legal obligations that require us to retain certain information.

We may suspend or terminate your access if we reasonably believe you have:

• Violated these Terms
• Created a security or privacy risk
• Engaged in fraudulent or unlawful activity
• Misused Esby or information about other people
• Used the Services in a manner that could harm Esby, our users, or third parties

Termination does not affect rights or obligations that arose before termination.

16. Third-Party Services

Esby may rely on, integrate with, or link to third-party services, including payment processors, hosting providers, analytics providers, artificial intelligence providers, email and calendar services, meeting or transcription services, and other software platforms.

We do not control and are not responsible for third-party services, their availability, functionality, content, security, or privacy practices.

Your use of third-party services may be governed by their own terms and privacy policies.

Changes made by third-party providers may affect Esby integrations or functionality.

17. Availability and Changes to the Services

We may modify, add, remove, suspend, or discontinue features or portions of Esby at any time.

We do not guarantee that any particular feature, integration, recommendation type, data source, or functionality will remain available.

We may perform maintenance, updates, or security work that temporarily affects availability.

18. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, RELADIUM LLC AND ESBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR SECURITY.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY INFORMATION, INFERENCE, RECOMMENDATION, DRAFT, CONNECTION, OPPORTUNITY, RELATIONSHIP INSIGHT, OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR APPROPRIATE FOR YOUR PARTICULAR SITUATION.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RELADIUM LLC, ESBY, AND OUR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, RELATIONSHIP OUTCOMES, OR OTHER INTANGIBLE LOSSES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ESBY FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of these limitations may not apply to you.

20. Indemnification

You agree to indemnify and hold harmless Reladium LLC, Esby, and our affiliates, officers, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of another person’s rights
• Information or content you submit, import, connect, or authorize Esby to access
• Your use of Esby-generated recommendations, drafts, insights, or other outputs
• Your unlawful or unauthorized use of information about another person

21. Changes to These Terms

We may update these Terms from time to time.

When we do, we will update the Effective Date above. If we make material changes, we may provide notice through the website, within Esby, or by email.

Your continued use of the Services after updated Terms become effective means you accept the revised Terms.

22. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state courts located in Placer County, California, or the federal courts located in the Eastern District of California.

You consent to the personal jurisdiction of those courts.

23. General Terms

These Terms, together with our Privacy Policy and any additional terms presented for specific features, integrations, or purchases, form the entire agreement between you and Esby regarding the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.
